1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Aegis Intercept ("we," "us," or "our") governing your access to and use of the Aegis Intercept platform, APIs, and all related services (collectively, the "Platform").

By clicking "Subscribe," completing a Stripe checkout, activating your account, or otherwise accessing the Platform, you agree to be bound by these Terms. If you are accessing the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Platform.

2. Platform Description

Aegis Intercept is a subscription-based geopolitical and city-level risk intelligence platform designed for enterprise use cases including corporate travel risk management, operational security assessment, compliance screening, supply chain risk evaluation, and related business intelligence functions.

The Platform aggregates, processes, and presents risk signals derived from publicly available open-source intelligence (OSINT) sources. It produces composite risk scores, city-level overlay data, and (where available as a premium add-on) AI-assisted summaries of regional conditions.

THE PLATFORM IS AN INFORMATIONAL TOOL. IT IS NOT A LICENSED INTELLIGENCE AGENCY, SECURITY FIRM, LAW FIRM, FINANCIAL ADVISOR, OR DUE DILIGENCE PROVIDER. ALL OUTPUT FROM THE PLATFORM IS FOR INFORMATIONAL PURPOSES ONLY. See Section 5.

3. Subscriptions and Billing

3.1 Subscription Tiers

Access to the Platform is available through paid subscription tiers (Professional, Enterprise, and Family Safety). Each tier grants access to a defined set of feature modules. Tier features, pricing, and module availability are described on our pricing page and are subject to change with reasonable notice.

3.2 Payment Processing

All payments are processed by Stripe, Inc. By completing a purchase, you agree to Stripe's Terms of Service. Your subscription begins upon successful payment confirmation and account provisioning. Subscriptions automatically renew at the then-current price unless canceled before the renewal date.

3.3 No Refunds

Subscription fees are non-refundable except as required by applicable law. Monthly subscription fees are not refunded upon mid-cycle cancellation. Annual subscriptions may be eligible for pro-rata refund only in cases of verified platform unavailability materially in excess of stated SLAs. To request a refund on this basis, contact legal@aegisintercept.com.

3.4 Suspension and Cancellation

We may suspend or terminate your account for non-payment, material breach of these Terms, or violation of the Acceptable Use Policy. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

4. API Usage Terms

Customers on eligible tiers may generate API keys to access Platform data programmatically. API access is subject to the following terms:

Risk scores and assessments produced by Aegis Intercept are derived from publicly available open-source information and algorithmic processing. They are NOT professional security assessments, legal advice, financial advice, investment advice, or government intelligence. YOU ASSUME FULL RESPONSIBILITY for any decisions made in reliance on Platform output.

Certain subscription tiers include access to AI-powered summaries and analytical commentary generated via the Anthropic Claude API (the "AI Features"). Regarding AI-generated content:

8. Acceptable Use

Your use of the Platform must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Key prohibitions include: using Platform data to discriminate against or target individuals; attempting to reverse-engineer scoring methodology; circumventing access controls; and sharing credentials or API keys.

9. Intellectual Property

All Platform software, source code, user interface design, scoring methodology, composite index formulas, weighting models, and documentation are the proprietary intellectual property of Aegis Intercept and are protected by copyright, trade secret, and other applicable laws. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes during the subscription term.

You may not reverse-engineer, decompile, or attempt to derive the source code or scoring methodology of the Platform. You may not create derivative works based on Platform methodology or output for the purpose of a competing service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11. Indemnification

You agree to indemnify, defend, and hold harmless Aegis Intercept and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any decision made by you or your organization in reliance on Platform output.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

For disputes involving amounts less than $10,000, either party may elect binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Class action waiver: you may only bring claims against us in your individual capacity, not as a class representative.

EU/EEA/UK mandatory law: Nothing in these Terms limits or excludes any rights or remedies you have under mandatory applicable law in your country of residence that cannot be excluded or limited by contract. If you are an EU, EEA, or UK consumer, you may also benefit from any mandatory provisions of the law of your country of residence. The choice of Delaware law does not deprive you of protections afforded by such mandatory provisions.

13. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' advance notice of material changes via email. Your continued use of the Platform after the effective date of changes constitutes acceptance. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
